A balanced corporate structure

Strong corporate governance is fundamental to the successful functioning of the firm and the best execution of the investment mandate entrusted to us by investors. 

PAI has developed a corporate structure which delivers this:

Management company  The management company is wholly owned by the 16 partners of PAI ensuring a strong partnership mentality and alignment of interests across the firm.

Investment Committee  The Investment Committee is at the heart of the PAI organisation and is chaired by PAI’s Chief Investment Officer, Michel Paris, who has 27 years of investment experience at PAI. The nine members of the committee are all partners of the firm and have a combined 125 years of private equity experience and an average 13 years at PAI. The Investment Committee is responsible for all investment-related decisions including new investments, divestments, add-on acquisitions, portfolio company financings and refinancings, as well as the overall monitoring of the funds’ investments. The Investment Committee is complemented by the Investment Appraisal function, staffed by two partners outside the investment deal team and responsible for providing an independent review of each investment opportunity to the Investment Committee.

Executive Committee  The six-member Executive Committee is responsible for the day-to day management of the firm and thus all non investment-related strategic and management decisions. The Executive Committee is chaired by PAI’s Chairman and CEO, Lionel Zinsou.

Supervisory Board The Supervisory Board is a five-member committee chaired by Amaury de Seze, the founding partner of PAI, who led PAI’s spin-off from BNP Paribas in 2002. The Supervisory Board is a non-executive body composed of senior professionals from outside the firm meeting on an ad hoc basis as and when required to oversee the appropriate execution of PAI’s investment mandate.
